IMPORTANT NOTICE

These Terms and Conditions govern the business use of Mobicode software, services, and platforms.

Binding acceptance of these Terms occurs when a user registers for, or first accesses, an account via the Mobicode customer platform at mobi-server.com. The website www.mobicode.co.uk is provided for informational and pre-contractual purposes only.

1. Parties and Purpose (Business-to-Business)

These Terms and Conditions govern the business use of Mobicode software, services, and platforms.

This End User Licence Agreement (“Agreement”) is a legally binding agreement between you, acting in the course of business (“User”, “you”, “your”), and IMEI Ltd, trading as Mobicode (“Company”, “we”, “us”, “our”).

This Agreement governs your access to and use of Mobicode’s software, platforms, applications, portals, APIs, and related services (collectively, the “Software”).

The Software is supplied exclusively for business, commercial, professional, or enterprise use. Consumer use is expressly excluded to the maximum extent permitted by law.

This Agreement constitutes a licence to use the Software and not a sale. All right, title, and interest in and to the Software, including all intellectual property rights, remain vested in the Company.

 

2. Acceptance of Terms

By accessing or using the Software via the Mobicode customer platform, you confirm that you have read, understood, and agree to be bound by this Agreement.

If you do not agree to these Terms, you must not access or use the Software.

3. Software and Services Covered

The Software includes, without limitation:

• Mobicode Portal / Dashboard – account access, reporting, billing, configuration, and service management
• MobiONE – mobile phone and tablet diagnostics and ADISA-approved data erasure
• MobiWIPE® – secure data erasure software
• MobiCHECK® – device due-diligence and status checking
• MobiTEST – hardware and software diagnostics
• Recycle-IT – device acquisition and recycling workflow
• Repair Centre Plus (RCP) – repair and device management module

Product names and availability may vary by territory.

4. Permitted Use and Restrictions

You may use the Software solely for your internal business purposes and strictly in accordance with this Agreement and all applicable laws.

You must not:

• bypass, disable, or interfere with licensing, billing, or security controls
• scrape, harvest, extract, resell, or reuse data, reports, or outputs
• use automated tools except via expressly authorised APIs
• reverse engineer, decompile, or create competing products or services
• submit device data or identifiers without lawful authority

The Company may suspend or terminate access immediately where misuse, breach, or risk is identified.

5. Payment, Credits, Top-Ups and Dormancy

All fees are payable in advance unless otherwise agreed in writing.

Credits, account balances, and top-ups purchased via the Mobicode Portal are non-refundable, non-transferable, and have no cash value.

If an account shows no activity for a continuous period of twenty-four (24) months, the account may be deemed dormant. Any remaining unused credit balance may be removed without refund.

6. Subscriptions, Renewal and Cancellation

Where a subscription is purchased with a fixed minimum term, including twelve (12) month commitments or annual pre-payment, the User is bound for the full term. Early cancellation does not relieve payment obligations.

Rolling monthly subscriptions renew on a month-to-month basis. Each billing period is non-refundable once commenced.

By subscribing, you authorise the Company to collect subscription fees automatically via your selected payment method.

7. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, or commercial losses, including loss of profit, data, business, or reputation.

The Company’s total aggregate liability arising out of or in connection with this Agreement shall be limited to the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

All decisions made using Software outputs are made at your own risk.

8. Termination

This Agreement remains in force until terminated.

Termination does not entitle you to any refund. Unused credits are forfeited. Fixed-term subscription fees remain payable for the full agreed term.

Upon termination, all licences granted under this Agreement immediately cease.

9. Privacy and Data Protection

Personal data is processed in accordance with applicable data protection law, including UK GDPR and EU GDPR where applicable.

The Privacy Policy is a separate document and does not form part of this Agreement.

10. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
